Terms and Conditions for Direct Debit Payments – CDR ONEPIX Software Agreement

 

 

1. Introduction

 

1.1 These terms and conditions (“Agreement”) govern the direct debit payment arrangement between you (“Customer”) and Clark Dental Sales (“Supplier”) for access to the CDR ONEPIX software (“Software”).

1.2 By entering into this Agreement, the Customer confirms their acceptance of the terms outlined herein.

 

 

2. Direct Debit Payments

 

2.1 The Customer agrees to pay for use of the Software via monthly direct debit.

2.2 Direct debit payments will be collected from the Customer’s nominated bank account on the agreed date each month.

2.3 The Customer is responsible for ensuring that sufficient funds are available in the nominated account to cover the payment on the due date.

 

 

3. Term and Cancellation

 

3.1 This Agreement is subject to an initial minimum term of 12 months from the commencement date of the direct debit.

3.2 If the Customer cancels the direct debit or otherwise terminates the Agreement before the end of the initial 12-month term, the full outstanding balance for the remainder of the term will become immediately due and payable.

3.3 The Customer may cancel the direct debit arrangement at any time by notifying both their bank or building society and the Supplier in writing.

3.4 Cancellation of the direct debit within the initial minimum term result in immediate termination of this Agreement and the conditions outlined in clauses 3.2 and 4 will apply.

 

 

4. Consequences of Termination

 

4.1 Upon termination due to cancellation of the direct debit, the Customer’s access to the Software will be limited.

4.2 The Software will enter a ‘read-only’ mode, enabling the Customer to view historical radiographs/images, but preventing the acquisition of new radiographs/images.

4.3 The read-only status will remain in place until the direct debit arrangement is reinstated or all outstanding payments have been made.

 

 

5. Reinstatement of Direct Debit

 

5.1 Full access to the Software will be restored once the Customer successfully reinstates the direct debit arrangement.

5.2 Upon reinstatement, the Software will resume full functionality, including the ability to capture and save new radiographs/images.

 

 

6. Liability

 

6.1 The Supplier accepts no liability for any loss or inconvenience caused by the Customer’s inability to use the Software following cancellation of the direct debit.

6.2 The Supplier is not responsible for any bank charges or fees incurred by the Customer in relation to the direct debit process.

 

 

7. Amendments

 

7.1 The Supplier reserves the right to amend these terms and conditions at any time.

7.2 Any changes will be communicated to the Customer in writing at least 30 days before they take effect.

 

 

8. Governing Law

 

8.1 This Agreement is governed by and construed in accordance with the laws of England and Wales.

8.2 Any disputes arising in relation to this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
