Terms and Conditions for Direct Debit Payments for CDR ONEPIX Software Agreement

1. Introduction

1.1 These terms and conditions ("Agreement") govern the direct debit payment arrangements between you ("Customer") and Clark Dental Sales ("Supplier") for the CDR ONEPIX software ("Software").

1.2 By entering into this Agreement, the Customer agrees to the terms set forth herein.

2. Direct Debit Payments

2.1 The Customer agrees to pay for the Software via direct debit on a monthly basis.

2.2 The direct debit payments will be debited from the Customer's nominated bank account on the agreed payment date each month.

2.3 The Customer is responsible for ensuring that sufficient funds are available in the nominated account to meet the direct debit payment on the due date.

3. Cancellation of Direct Debit

3.1 The Customer may cancel the direct debit at any time by notifying their bank or building society and the Supplier in writing.

3.2 If the direct debit is cancelled, this Agreement will be terminated immediately.

4. Consequences of Termination

4.1 Upon termination of the Agreement due to cancellation of the direct debit, the Customer's access to the Software will be restricted.

4.2 The Software will become 'read-only,' meaning the Customer will be able to view historical radiographs/images but will not be able to take any new radiographs/images.

4.3 The read-only status will remain in effect until the direct debit is reinstated.

5. Reinstatement of Direct Debit

5.1 To reinstate the Software's full functionality, the Customer must reinstate the direct debit payment arrangement.

5.2 Upon successful reinstatement of the direct debit, the Software will be restored to its full operational status, allowing the Customer to take and save new radiographs/images.

6. Liability

6.1 The Supplier shall not be liable for any loss or damage arising from the Customer's inability to take new radiographs/images due to the cancellation of the direct debit.

6.2 The Supplier shall not be responsible for any charges or fees imposed by the Customer's bank or building society related to the direct debit payment process.

7. Amendments

7.1 The Supplier reserves the right to amend these terms and conditions at any time.

7.2 Any amendments will be communicated to the Customer in writing at least 30 days prior to their effective date.

8. Governing Law

8.1 This Agreement shall be governed by and construed in accordance with the laws of England and Wales.

8.2 Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
